By accessing and using the XenonAds LTD website and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Definitions
- "XenonAds", "we", "us" — XenonAds LTD, a company registered in England and Wales.
- "Publisher" — A website or app owner who uses our services to monetize their inventory.
- "Advertiser" — A business or individual who uses our services to display advertisements.
- "Services" — The ad network, programmatic advertising, and monetization services provided by XenonAds LTD.
- "Inventory" — Ad space available on a publisher's website or app.
3. Publisher Obligations
Publishers using our services agree to:
- Maintain original, high-quality content that complies with all applicable laws
- Not use bots, auto-refresh, or any artificial traffic generation methods
- Not click on their own ads or incentivize users to click on ads
- Implement ads.txt and sellers.json as required
- Comply with GDPR, CCPA, and other applicable data protection regulations
- Not place ads on pages with illegal, adult, or prohibited content
- Maintain a HTTPS-secured website
- Notify us of any significant changes to their website or traffic
4. Advertiser Obligations
Advertisers using our services agree to:
- Provide accurate and lawful advertising content
- Not submit ads containing malware, deceptive content, or prohibited material
- Comply with all applicable advertising laws and regulations
- Respect intellectual property rights in all ad creatives
- Pay all invoices within the agreed payment terms
- Not engage in click fraud or impression fraud
5. Prohibited Content
The following content categories are strictly prohibited:
- Illegal content (drugs, weapons, terrorism)
- Adult/pornographic content
- Violence or hate speech
- Malware, phishing, or fraudulent schemes
- Copyright-infringing content
- Content that violates third-party rights
6. Revenue and Payments
For Publishers:
- Revenue share is agreed upon in the individual publisher agreement
- Payments are made on a NET-30 basis (unless otherwise agreed)
- Minimum payout threshold is $50
- Payments are made via bank transfer or PayPal
- XenonAds reserves the right to withhold payments for suspected fraud
For Advertisers:
- Campaign budgets must be funded before campaign launch
- Refunds for unused budget are available within 30 days
- Pricing models (CPM, CPC, CPA) are agreed upon per campaign
7. Intellectual Property
All content, trademarks, logos, and intellectual property on the XenonAds website are the property of XenonAds LTD or its licensors. Unauthorized use is prohibited.
8. Termination
Either party may terminate the service relationship with 30 days' written notice. XenonAds may immediately terminate services for:
- Violation of these Terms and Conditions
- Suspected fraudulent activity
- Non-payment of invoices
- Prohibited content on publisher inventory
9. Limitation of Liability
XenonAds LTD shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the advertiser or earned by the publisher in the three months preceding the claim.
10. Confidentiality
Both parties agree to keep confidential all proprietary information, revenue data, pricing, and technical information shared during the course of the business relationship.
11. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
